Creator Platform Terms
Effective date: 21 September 2026
These Terms govern how you (“Creator”, “you”) use the LIA platform at https://www.withlia.ai/ (the “Platform”). The Platform is operated by LIA S.R.L., registered office Viale Corsica 14, 20137 Milan, Italy, VAT/C.F. 14646980962, REA MI-2798587 (“LIA”, “we”).
- A “Brand” is a business that creates and manages marketing programs on the Platform;
- A “Programme” is a standing creator programme managed by a Brand and available to approved Creator(s) on the Platform. A Programme may use any compensation model set out in its Brand Terms, including a flat fee, a per-action commission, or a combination;
- a “Campaign” is a certain Brand marketing campaign, available to approved Creators on the Platform;
- The “Brand Terms” are those certain Programme and/or Campaign terms and conditions that govern the Creator services to Brand, including but not limited to the Partnership Agreement as between Creator and Brand. Brand Terms do not change these Terms or your relationship with LIA;
- “Content” means any art, text, graphics, images, photography, music, audio, video, data, and other information or materials, in any medium or form, created or contributed by a Creator in connection with a Programme and/or Campaign.
The LIA Privacy Policy (https://withlia.ai/privacy.html) is incorporated by reference.
1. Acceptance
By submitting Your LIA Creator Platform application and checking the agreement box You accept these Terms, before your account is created. We record the version accepted and the date, IP and device of acceptance, and keep prior versions available to you. We may update these Terms. Non-material changes take effect when posted. For material changes we email you and the new version applies 15 days later; if you do not wish to be bound by it, you may close your account. No change applies to a Programme or Campaign you have already accepted.
2. Eligibility
You must be at least 18, have capacity to contract, be the owner or authorized operator of the social accounts you connect, and not be barred under any applicable law or sanctions regime.
3. Your account
Provide accurate information and keep it current. Keep your credentials secure and do not share access; one account per person. You are responsible for activity under your account, including by anyone you allow to act for you, except unauthorised use you did not enable and could not reasonably have prevented. We may verify your identity and the information you provide (including for Sections 6–7). You may connect and disconnect supported social accounts. Disconnecting does not end obligations under a Programme or Campaign you have already accepted, and may prevent us from verifying published Content, which can delay payment for it.
4. LIA’s role
LIA provides the Platform and is an intermediary, not a party to the Brand Terms. Deliverables (the Content and any other items You agree to produce under a Programme or Campaign), fees, payment timing and Content usage rights are governed by the Brand Terms, between You and the Brand. LIA does not vet, endorse, employ or guarantee any Brand, and does not guarantee that you will be selected for any Programme or Campaign.
5. Your Content
You grant LIA a limited, worldwide, non-exclusive, royalty-free license to host, store and process the Content you upload solely to operate the Platform. This license ends when the Content is deleted, except for limited copies we must keep for legal or tax purposes (Section 7) and routine backups. You confirm you hold the rights to your Content and to anyone appearing in it, including minors.
6. Automated checks
The Platform uses automated and AI processing to run, including matching, analysis, and automated checks that screen your account and your Content against legal and safety rules and against the Brand’s brief and guidelines. These checks may exclude Content or restrict your participation in a Programme or Campaign. If that happens we tell you why, and you can ask for a person to review the decision at support@withlia.ai. We reply within 15 days. Further detail is in the Privacy Policy at https://withlia.ai/privacy.html.
7. Payouts and taxes
7.1 Payouts
Your compensation is owed by the Brand and paid through our payment partner, currently Lumanu Inc., which collects from the Brand and pays you. LIA never holds your funds. To be paid you must complete the partner’s onboarding and keep your payout and tax details accurate. We may change the payment partner on notice; this does not change what you are owed or when, and is not a material change to these Terms.
Amounts, currency, timing and any fees are set in the Brand Terms. If a payout fails or is duplicated, misdirected, overpaid or obtained by fraud, we may recover it or set it off against future payouts. A Brand’s failure to pay is never recovered from you, and no payout is reversed for work already approved or published.
7.2 Taxes
You are responsible for the taxes on your earnings. Required tax information is collected and verified through the payment partner.
7.3 DAC7
LIA is a Reporting Platform Operator under EU Directive 2021/514 (“DAC7”), as transposed into Italian law; this duty is ours and is not transferred by our use of a payment partner. For creators tax-resident in an EU Member State we must collect, verify and report annually by 31 January to the Agenzia delle Entrate:
- individuals: full name; residence address; date and place of birth; Italian fiscal code (if any); foreign TIN and Member State of tax residence; VAT number (if any);
- entities: legal name; registered-office address; Italian fiscal code (if any); foreign TIN; VAT; Member State of tax residence; business-register number;
- the account identifier to which you are paid (e.g. IBAN) and account-holder name if different; and, per quarter, the total paid to you, the number of relevant activities, and any fees, commissions or taxes we withheld or charged.
We will inform you of this reporting and that you may exercise your data-protection rights (see Section 9), and we retain the data until 31 December of the fifth year after the reporting year. Reporting applies to all in-scope EU creators regardless of amounts: the DAC7 small-seller exclusion covers only the sale of goods, and creator work is a personal service. If you do not provide the required information after our request and two reminders, and 60 days have passed, we may close your account and/or have your payouts held, not forfeited, until you provide it.
7.4 US and other regions
This turns on tax residence, not nationality. US persons are outside DAC7 and instead provide a Form W-9 (or W-8); any US information returns (e.g. 1099-K) are handled through the payment partner. Creators resident outside both the EU and the US are handled under their applicable local rules.
8. Acceptable Use
Do not: use bots, fake accounts or artificial engagement; misrepresent your identity, audience or metrics; share account access; circumvent security; act unlawfully; or harass anyone. Your content must be lawful, original or licensed, and compliant with each social platform’s rules. You must disclose paid partnerships as required by law (e.g. FTC in the US, AGCM/IAP in Italy/EU). We may suspend or terminate your account for breach, or suspend it while we investigate one. We tell you the reasons. Compensation already earned for delivered work remains payable.
9. Privacy
How we handle your personal data is set out in the Privacy Policy at https://withlia.ai/privacy.html. LIA is the data controller for the data it determines the purposes of (your account, payouts, platform operation and the checks in Section 6); for Programme and Campaign data that LIA and a Brand each use for their own purposes, each is an independent controller. Tax data is kept under the DAC7 schedule or as otherwise applicable under Section 7.
10. Liability
LIA is not responsible for a Brand’s failure to pay you, or for indirect or lost-profit losses, and our overall liability to you is capped at the greater of EUR 1,000 and the payouts paid or payable to you in the previous 12 months. None of this limits liability that Italian law does not allow us to limit (fraud, gross negligence, death or personal injury, or mandatory consumer rights).
11. Termination
You may close your account at any time, and may request to export your content and earnings data first. We may suspend or terminate for breach or where required by law. Sections 5, 7, 9, 10 and 12 continue after termination.
12. Governing Law; Miscellaneous
These Terms are governed by Italian law and the Court of Milan (Tribunale di Milano), without depriving you of the mandatory protections of your country of residence; we do not use mandatory arbitration. Third-party services you use (the social platforms, the payment partner) are governed by their own terms. The Platform and its IP are owned by LIA; you may not copy or misuse them. If any provision is invalid the rest stands. We may assign these Terms to an affiliate or to a buyer of our business, who takes on our obligations; you may not assign without our consent. We give notice by email or in-app. These Terms (with the Privacy Policy) are the entire agreement on this subject, in English as the controlling version.
